Consent

SERVICE AGREEMENT

This Service Agreement (“Agreement”) is made and entered into as of July 1, 2025, by and between:

(“Service Provider”)

AND

Texas Auctioneers Association
PO Box 940, Springtown, TX 76082
(“Client”)

  1. Scope of Services

Media Bandit agrees to provide the following services (collectively, the “Services”):

  1. Website Management & Development
  • Ongoing website maintenance and updates
  • Bug fixes, security monitoring, and performance optimization
  • Custom development as requested by the Client
  1. Marketing & Advertising
  • Google Ads/Facebook Ads setup and management
  • Search Engine Optimization (SEO)

Specific deliverables and timelines may be outlined in an attached Statement of Work (SOW) or written proposal.

  1. Payment Terms
  • Monthly Retainer / Project Fee: $1000 per month
  • Payment Due: Net 15 from invoice date
  1. Term & Termination
  • This Agreement will begin on the Effective Date and continue on a month-to-month basis.
  • Either party may terminate this Agreement at any time
  • Upon termination, all outstanding fees for services rendered are immediately due.
  1. Client Responsibilities

The Client agrees to:

  • Provide timely feedback and approvals
  • Supply necessary content, branding, or access to relevant platforms
  • Maintain current access credentials for accounts managed by Media Bandit
  1. Intellectual Property
  • All work created by Media Bandit under this Agreement shall be considered “work for hire” and ownership will transfer to the Client upon final payment, unless otherwise agreed.
  • Media Bandit retains the right to display completed work in its portfolio and for marketing purposes.
  1. Confidentiality

Each party agrees to maintain confidentiality regarding all non-public information exchanged during the term of this Agreement and for a period of one (1) year thereafter.

  1. Limitation of Liability

Media Bandit will not be liable for any indirect, incidental, or consequential damages, including lost profits, arising out of or related to this Agreement. Liability is limited to the total amount paid by Client in the preceding 60 days.

  1. Miscellaneous
  • This Agreement represents the entire agreement between the parties.
  • Amendments must be made in writing and signed by both parties.
  • This Agreement is governed by the laws of the State of California.
